CONFIDENTIALITY & LEGAL DISCLOSURE

SECTION 1 — PURPOSE & INTENT

This Agreement establishes a legally binding framework governing the handling of confidential information, the assignment and ownership of intellectual property, the governance of equity participation and shareholder conduct, and the protection of strategic, technological, operational, and commercial interests.

• Protection and handling of confidential information;

• Governance of equity participation and shareholder conduct;
• Preservation of strategic and operational interests;
• Protection of systems, methodologies, and commercial opportunities.

SECTION 2 — CONFIDENTIALITY & NON-DISCLOSURE

2.1 Confidential Information

• Artificial Intelligence systems and automation frameworks;
• Software applications, APIs, databases, and source code;
• Algorithms, operational methodologies, and architectures;
• Business plans, investor materials, and financial forecasts;
• Trade secrets, inventions, and proprietary concepts;
• Commercial negotiations and strategic relationships.

2.2 Confidentiality Obligations

• Maintain strict confidentiality at all times;
• Use information solely for authorized Company purposes;
• Refrain from disclosure without written authorization;
• Implement commercially reasonable security protections;
• Not duplicate or reverse engineer Company systems.

SECTION 3 — INTELLECTUAL PROPERTY ASSIGNMENT

All inventions, systems, software, methodologies, frameworks, operational processes, architectures, designs, documentation, and derivative works created during engagement remain the sole property of the Company.

• Software applications and source code;
• AI systems and automation frameworks;
• Business operating systems and methodologies;
• Designs, documentation, and derivative works;
• Technical architectures and commercial systems.

SECTION 4 — SHAREHOLDER & EQUITY STRUCTURE

SECTION 5 — NON-COMPETE & NON-CIRCUMVENTION

The Receiving Party agrees not to directly or indirectly engage in substantially similar competing activities, nor circumvent the Company's investors, suppliers, clients, or commercial relationships.

SECTION 6 — BREACH & REMEDIES

Any breach may result in immediate injunctive relief, claims for damages, financial penalties, equitable remedies, and all legal remedies available under South African law.

SECTION 7 — TERM & SURVIVAL

This Agreement shall remain in force indefinitely unless terminated in writing by the Company. Confidentiality obligations and intellectual property provisions survive termination indefinitely.

SECTION 8 — GOVERNING LAW

This Agreement shall be governed by and interpreted in accordance with the laws of the Republic of South Africa.

SECTION 9 — ENTIRE AGREEMENT

This Agreement constitutes the complete understanding between the Parties and supersedes prior discussions, negotiations, understandings, and agreements.

SECTION 10 — SEVERABILITY

If any provision is deemed unenforceable or invalid, the remaining provisions remain enforceable and in full force and effect.
